"Consumer"

Any natural person acting for purposes outside their trade, business, craft, or profession.

"Account"

Your purchase request for one or more Gift Cards.

"MTechnology-Based Trade"

The sale and purchase of goods and services through technological platforms as defined in UAE Federal Decree-Law No. 14 of 2023.

4.1 Eligibility

6. Orders and Payments

6.1 Placing an Order

• Select the desired Gift Card and denomination.

• Complete the payment process through our secure payment gateway.

By placing an Order, you make an offer to purchase the selected Gift Card subject to these Terms. We reserve the right to accept or reject any Order at our sole discretion.

6.2 Order Confirmation

Upon placing an Order, you will receive an email confirming receipt of your Order. This confirmation does not constitute acceptance of your Order. Acceptance occurs when we send you the digital Gift Card or voucher.

6.3 Pricing and Taxes

All prices displayed on our Site are in UAE Dirhams (AED) unless otherwise indicated. Prices are subject to change without notice.

• VAT: Value Added Tax (VAT) at the applicable rate (currently 5%) may be added to your purchase where required by UAE law. Gift cards and vouchers are subject to UAE VAT regulations.

7. Delivery of Gift Cards

7.1 Delivery Method

Gift Cards are delivered electronically to the email address you provide at checkout. You may also be able to view your Gift Cards in your account dashboard (if applicable).

7.2 Delivery Time

We aim to deliver digital Gift Cards instantly after successful payment processing. However, delivery times may vary depending on payment verification, technical issues, or other factors.

7.3 Failed Delivery

It is your responsibility to provide a valid and functional email address. We are not responsible for any failure to receive your Gift Card due to:

• Incorrect email address provided by you.

• Spam or junk mail filters blocking our emails.

• Technical issues with your email service provider.

If you do not receive your Gift Card within [24] hours of order confirmation, please contact us at finvantatech@gmail.com.

7.4 Incorrect Delivery

If you receive an incorrect Gift Card (e.g., wrong brand or denomination), you must contact us immediately. We will investigate and, if verified, provide a replacement or refund.

8. Pricing and Fees

8.1 Price Display

All prices are displayed in UAE Dirhams (AED). We make every effort to ensure accurate pricing, but errors may occasionally occur. If we discover a pricing error after your Order is placed, we will notify you and give you the option to proceed at the correct price or cancel your Order.

8.2 No Hidden Fees

We are committed to transparent pricing. No hidden fees or undisclosed charges will be added to your Order.

8.3 Discounts and Promotions

From time to time, we may offer discounts, promotional codes, or special offers. Such offers are subject to additional terms and conditions and may be revoked or modified at any time.

9. Refunds, Returns, and Cancellations

9.1 General Rule – No Refunds for Digital Gift Cards

Due to the digital nature of our products and the risk of fraud, all sales of digital gift cards and vouchers are final. Once a Gift Card code has been generated and delivered to you, it cannot be returned, exchanged, or refunded.

This policy is consistent with industry practice for digital gift cards and e-vouchers.

9.2 Exceptions – Defective or Inoperable Gift Cards

Notwithstanding the above, if you receive a Gift Card that is defective, damaged, or inoperable (e.g., the code does not work when redeemed), you may be eligible for a replacement or refund subject to the following conditions:

• You must contact us within 7 days of delivery.

• You must provide proof of purchase (order confirmation).

• You must cooperate with our investigation, which may include providing screenshots or other evidence of the redemption failure.

If we verify that the Gift Card was defective through no fault of your own, we will, at our discretion:

• Replace the Gift Card with a valid working code of equal value; or

• Issue a refund to your original payment method.

9.3 Change of Mind

We do not offer refunds for "change of mind" after a Gift Card has been delivered. As digital products are intangible and can be used immediately upon receipt, we cannot accept returns for this reason.

9.4 Order Cancellation Before Delivery

If you contact us before the Gift Card has been generated and delivered, we may cancel your Order and issue a full refund at our discretion. Once the Gift Card code has been generated, cancellation is no longer possible.

9.5 Consumer Protection Rights – Defective Goods

Nothing in these Terms limits your statutory rights under UAE law. In accordance with Article 12 of UAE Federal Law No. 15 of 2020 on Consumer Protection (as amended), if a defect is found in goods or services, the supplier shall repair or replace the same, return the goods and refund its price, or re-perform the service without charge, in accordance with the implementing regulations.

Additionally, under Article 7 of Federal Decree-Law No. 14 of 2023, consumers have the right to return or request replacement of goods purchased through modern technology if the goods are defective, not as described, or if delivery is delayed beyond usability.

10. Gift Card Terms of Use

10.1 Redemption

Gift Cards purchased from us must be redeemed through the applicable brand's website, platform, or app in accordance with that brand's terms and conditions. We are not responsible for any changes made by the brand to their redemption process or terms.

10.2 Expiration

Gift Cards may have expiration dates set by the issuing brand. You are responsible for checking and adhering to any expiration dates. We do not offer refunds or replacements for expired Gift Cards.

10.3 Non-Refundable and Non-Exchangeable

Gift Cards are non-refundable and non-exchangeable for cash, credit, or other products, except as required by law.

10.4 Lost, Stolen, or Damaged Gift Cards

We are not responsible for any loss, theft, or damage to Gift Cards after they have been delivered to you. Gift cards or codes cannot be replaced if lost or stolen.

10.5 No Re-sale

You may not re-sell any Gift Card purchased from us without our prior written consent. We reserve the right to cancel any Gift Cards suspected of being re-sold without authorisation.

10.6 Single Transaction Limitation

Some Gift Cards may be valid for a single transaction only. Please review the specific terms of each Gift Card before purchase.

11. User Obligations and Prohibited Activities

11.1 You agree to use our Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use of our Site.

14.4 Legal Limitations

Some jurisdictions do not allow the exclusion of implied warranties or limitations on certain statutory rights. In such cases, the above disclaimers apply to the fullest extent permitted by law.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

15.1 No Indirect Damages

IN NO EVENT SHALL FINVANTA TECH FZCO, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SITE OR PRODUCTS.

15.2 Maximum Liability

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SITE AND PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SPECIFIC GIFT CARD GIVING RISE TO THE CLAIM.

15.3 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, pandemics, strikes, fires, floods, or interruptions of the internet or telecommunications services.

15.4 Consumer Protections

Nothing in this limitation of liability clauseshall exclude or limit our liability for death or personal injury resulting from our negligence, fraud, or any other liability that cannot be excluded or limited under applicable UAE law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Finvanta Tech FZCO and its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of our Site or products in violation of these Terms.

• Any breach of these Terms by you.

• Your violation of any applicable law or third-party rights.

• Any misuse of a Gift Card by you or any third party.

17. Termination

17.1 Termination by You

You may terminate these Terms at any time by ceasing to use our Site and closing your account (if any). Any amounts paid prior to termination are non-refundable except as otherwise provided in these Terms.

17.2 Termination by Us

We reserve the right to suspend or terminate your access to our Site and services, or cancel any pending Orders, at our sole discretion and without prior notice, if:

• We suspect fraudulent or unauthorised activity.

• Required to do so by law.

Upon termination, your right to use our Site will immediately cease. Sections that by their nature should survive termination (including but not limited to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

• Federal Decree-Law No. 14 of 2023 on Commerce through Modern Technology (E-Commerce Law);

• Federal Law No. 15 of 2020 on Consumer Protection (as amended);

• Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL); and

• Federal Decree-Law No. 50 of 2022 Promulgating the Commercial Transactions Law.

The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

19. Dispute Resolution

19.1 Informal Resolution

If you have any dispute or complaint regarding our Site or products, you agree to first contact us at finvantatech@gmail.com to attempt an informal resolution. We will make reasonable efforts to resolve the dispute promptly.

19.2 Formal Dispute Resolution

If the dispute cannot be resolved informally within 30 days, either party may refer the matter to the competent courts of the Emirate of Dubai, UAE.

You may also file a complaint with the Consumer Protection Department of the UAE Ministry of Economy or the relevant local authority in your Emirate. The Ministry may establish dispute resolution committees to address e-commerce-related disputes as provided under Article 9 of Federal Decree-Law No. 14 of 2023.

19.4 Limitation Period

Any legal action arising out of or relating to these Terms must be commenced within one (1) year from the date the cause of action accrued, or such shorter period as prescribed by UAE law under Federal Decree-Law No. 50 of 2022.

20. Changes to These Terms

We reserve the right to modify or update these Terms at any time without prior notice. Changes will be effective immediately upon posting on our Site. The "Last updated" date at the top of these Terms indicates when the most recent changes were made.
